Consistent to its commitment to comprehensively implement GCG, ANTAM has adopted international best practices of corporate governance, especially Australia Securities Exchange (ASX) Corporate Governance Principles and Recommendation issued by ASX Corporate Governance Council since year 2003 and the amendment in year 2013, Indonesia Code of GCG issued by National Committee on Governance on 2006, and referred to the criteria and methodology issued by the Minister of State-Owned Enterprise (SOE) No. SK-16/S. MBU/2012 dated 6 June 2012.

In enhancing the level of corporate governance implementation in the company,  ANTAM has adopted ASEAN Corporate Governance Scorecard since 2012 which was issued by ASEAN Capital Markets Forum (ACMF) and the Asian Development. Implementation of ASEAN CG Scorecard using 2 levels:

    b. Equitable Treatment of Shareholders
    c. Role of Stakeholders
    d. Disclosure & Transparency
    e. Board Responsibilities
2. Level 2

Funding Activity History (1)
Antam was first listed on the Jakarta Stock Exchange when the government sold 35% of the company to the public in 1997. In 1999, Antam listed its shares as a Foreign-Exempt Listing on the Australian Stock Exchange and became a full ASX Listing in 2002.  In 2003, Antam issued US$200 million of bonds through its Mauritian subsidiary Antam Finance Ltd and listed the bonds at the Singapore Stock Exchange. In 2006, due to the cancellation of the double tax treaty between Indonesia and Mauritius, Antam exercised its rights under the Bonds Agreement to redeem the bonds early at par, which was financed by Antam's internal cash flow and investment loan facilities from BCA and Bank Mandiri.

The structure of ANTAM’s operation costs is dominated by materials and services costs. As such there is a need for a synergy and cooperation between Antam and its partners and suppliers to provide products and services that meet Antam’s products quality requirements at the right time, at the right location and at the lowest possible cost to help Antam obtains one of its missions to operate efficiently and to maintain its competitiveness in the mining industry.

One of the efforts taken by Antm to increase its operational efficiency is by improving its supply chain management (SCM) through the use of information technology.

The e-procurement solution was designed as a tool for Antam’s Supply Chain Management group to manage its procurements inline with the Director Decision no 5.P/92/DAT/2005 and its amendment no. 1.P/92/DAT/2008.

The e-procurement concept is a SCM process where all processes such as approvals and verifications are conducted electronically and automatically in order to create a transparent communications between all parties involved in the SCM process (such as users, partners and suppliers). It is expected that the e-procurement implementation will create a procurement process of goods and services that is fair and transparent.

PT Antam Tbk hopes the full cooperation and supports from all of its suppliers of goods and services to always follow the stated stipulations and to compete fairly and not to conduct speculative transactions in this e-procurement facility.

ANTAM is committed to implement sound corporate governance. Consistently, we have adopted ASX Corporate Governance Principles & Recommendations and Indonesia Code of GCG. Departures from ASX’s recommendations were mostly due to the difference between corporate structure in Indonesia and Australia, where Indonesia adopts a two-board system, and Australia adopts a one-board system. In addition, as a State Owned Enterprise (SOE), we are also required to abide certain regulations applicable for SOEs. As a result to this, there are several differences in the implementation of recommendations. Nevertheless, we always strive to enhance our corporate governance practices through improvements efforts, and not only focusing on complying with the minimum standard; because we believe that implementation of Good Corporate Governance (GCG) goes beyond compliance to rules and regulations.
